KushoAI Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the KushoAI website, platform, services, applications, APIs, documentation, and related offerings provided by Kusho, Inc. (“Kusho,” “we,” “our,” or “us”). By accessing or using the KushoAI platform (“Platform”), you agree to be bound by these Terms.

If you are using KushoAI on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Acceptance of Terms

By accessing or using the Platform or any KushoAI content (including through a mobile device or web browser), you acknowledge that you have read, understood, and agree to be bound by these Terms and all referenced policies.

If you do not agree with these Terms, you may not access or use the Platform.

2. Definitions

“Account” means a KushoAI user account created by you or your organization.

“Customer” means the individual or entity that has entered into a subscription or contractual relationship with Kusho.

“Customer Data” means data submitted, uploaded, or processed by a Customer or its users through the Platform.

“Documentation” means user guides, technical docs, specifications, and similar materials provided by Kusho related to the Platform.

“Services” refers to the features and functionality provided through the Platform, including test case generation, workflow analysis, security validation, UI testing, risk scoring, integrations, analytics, and related functionality.

“Subscription” means a paid or free set of features and access levels as defined in an Order Form or pricing page.

3. Eligibility

You represent and warrant that:

• You are at least 18 years old.

• You have full power and authority to enter into these Terms.

• If you are registering on behalf of an organization, you are authorized to bind that organization.

4. Account Registration and Access

4.1 Account Creation

To access certain features of the Platform, you may be required to create an Account. You agree to:

• Provide accurate and complete information

• Maintain your Account credentials securely

• Be responsible for all activities under your Account

You agree to notify KushoAI immediately of any unauthorized use or breach of security related to your Account.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials. KushoAI will not be liable for any loss or damage arising from your failure to safeguard your credentials.

5. Use of the Platform

5.1 License to Use

Subject to these Terms and any applicable agreement (including an Order Form or Master Services Agreement), KushoAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for internal business purposes.

5.2 Restrictions

You agree not to:

• Copy, modify, or create derivative works of the Platform

• Reverse engineer or attempt to derive source code

• Use the Platform for illegal purposes

• Interfere with Platform security, integrity, or availability

• Circumvent any technical limitations

• Use the Platform in a manner that violates applicable laws

6. Subscription Plans

The Platform may be offered under different subscription tiers (e.g., Developer Edition, Enterprise). Subscription terms, fees, and usage limits are set forth on the pricing page or in a separate agreement.

Unless otherwise stated, all fees are non-refundable.

7. Customer Data and Privacy

7.1 Customer Data

You retain ownership of all Customer Data submitted through the Platform.

KushoAI processes Customer Data solely to provide and improve the Services in accordance with the Privacy Policy.

7.2 Privacy Policy

8. AI Models and Outputs

The Platform uses AI systems to generate artifacts such as test cases, analysis results, and risk scores.

You acknowledge that:

• AI-generated outputs are provided “as is” and may contain inaccuracies.

• The results are intended to assist your internal processes and do not replace the need for independent validation, quality assurance, or regulatory review.

• KushoAI makes no representation regarding the suitability of AI-generated outputs for any particular use case.

9. Intellectual Property

9.1 Ownership

All rights, title, and interest in and to the Platform, Documentation, and underlying technology belong to KushoAI or its licensors.

9.2 Feedback

You agree that any feedback you provide regarding the Platform may be used by KushoAI without restriction. You hereby grant Kusho a perpetual, irrevocable, royalty-free license to use such feedback.

10. Third-Party Tools and Integrations

The Platform may integrate with third-party services or tools (e.g., GitHub, Jira, CI/CD platforms). Your use of such third-party integrations may be subject to additional terms and privacy practices of those services.

KushoAI is not responsible for the content, security, or privacy practices of third-party services.

11. Fees and Payment

11.1 Fees

You agree to pay all applicable fees for any paid Services as described in your subscription or agreement.

11.2 Billing

All payments must be made using accepted payment methods. You authorize KushoAI to charge your designated payment method for all amounts due.

11.3 Suspension for Non-Payment

KushoAI may suspend access to paid Services for failure to pay fees when due.

12. Termination

12.1 Termination by You

You may discontinue use of the Platform at any time.

12.2 Termination by KushoAI

KushoAI may suspend or terminate access for:

• Violation of these Terms

• Non-payment of fees

• Security or abuse concerns

12.3 Effect of Termination

Upon termination, your right to access the Platform will cease. KushoAI may delete associated data in accordance with its data retention policies.

13. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND.

KUSHOAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES.

• KUSHOAI’S AGGREGATE LIABILITY SHALL BE LIMITED TO THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE 3 MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless KushoAI and its affiliates from any claims arising out of:

• Your use of the Platform

• Violation of these Terms

• Your Content or Customer Data

• Your violation of applicable law

16. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of California without regard to conflict of law principles.

Any dispute will be resolved exclusively in the federal or state courts located in San Francisco, California. 

17. Notices

We may deliver notices via email, posting on the Platform, or updates to these Terms. You may provide notices to us at:

18. Assignment

You may not assign these Terms without KushoAI’s prior written consent. KushoAI may assign these Terms in the event of a corporate reorganization, sale, or merger.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full effect.

20. Entire Agreement

These Terms, together with any applicable subscription/order documents and the Privacy Policy, constitute the entire agreement between you and KushoAI regarding the Platform.
